Treasure Global Inc entered into a brand strategy and marketing agreement with PEPE CEMERLANG MARKETING on October 15, 2026, committing to a total service fee of USD 2,000,000. The Nasdaq-listed company disclosed the deal in an 8-K filing, describing the arrangement as a material definitive agreement that engages the Malaysian firm on a non-exclusive basis. The contract, effective immediately upon signing, covers an 18-month term during which the consultant will deliver brand foundation, identity, and growth execution services.
The agreement is structured in three distinct phases. Phase 1 focuses on establishing the brand foundation, including market research, brand architecture, and a strategic roadmap. Phase 2 involves crafting the brand identity, covering visual guidelines and launch preparation. Phase 3 executes marketing and growth through integrated strategies, digital production, and performance reporting. The consultant does not guarantee specific commercial outcomes but remains responsible for any third parties it engages at its own cost.
Payment is tied to milestone deliveries subject to Treasure Global’s reasonable satisfaction. The initial USD 660,000 is due upon signing, with subsequent payments ranging from USD 100,000 to USD 550,000 for the completion or commencement of each phase. The company holds sole discretion over how these milestones are settled, opting for cash wire transfers, issuance of restricted common stock, or a combination of both. If shares are used, the quantity is determined by the Nasdaq closing price on the trading day preceding the notice of election. Any shares issued are restricted for six months and subject to Rule 144 transfer limitations.
Intellectual property rights vest in Treasure Global only upon full payment of the service fee. Until then, the company retains a non-exclusive, royalty-free license to use the work product for internal business purposes. The consultant retains ownership of its pre-existing intellectual property but grants a perpetual, irrevocable license for any such assets incorporated into the final deliverables. Both parties are bound by confidentiality obligations that survive termination and must return or destroy confidential information upon request.
The contract is governed by Malaysian law, subject to the exclusive jurisdiction of Malaysian courts following a 30-day good-faith consultation period. Either party may terminate the agreement immediately for incurable breach or insolvency events. The arrangement includes 30 days of post-project support after the term ends, provided the service fee has been paid in full.
