Mobix Labs, Inc. terminated its Agreement and Plan of Merger with Vision Aerial, Inc. on October 14, 2026, following the expiration of the contractual termination date. The company delivered written notice to Vision Aerial pursuant to Section 8.1(c) of the agreement, which was originally dated July 24, 2026. The decision resulted from delays in finishing specific diligence and reporting tasks, specifically because the audit team had not yet received the required financial and accounting data to finalize the audit. Consequently, the transaction was not consummated within the contemplated timeframe. The Merger Agreement had been previously disclosed in the company's Current Report on Form 8-K filed on July 29, 2026.

Mobix Labs stated that the termination was amicable and that the company maintains a positive relationship with Vision Aerial. The firm remains open to exploring potential opportunities with Vision Aerial in the future. The filing, dated October 19, 2026, was signed by Keyvan Samini, President and Chief Financial Officer of Mobix Labs. Mobix Labs is incorporated in Delaware and its Class A Common Stock and Redeemable Warrants are registered on the Nasdaq Capital Market under the symbols MOBX and MOBXW, respectively.
