Under the terms of the distribution, S&P Global shareholders received one share of Mobility Global stock for every share of S&P Global stock held as of the close of business on June 15, 2026. Following the completion of the spin-off, Mobility Global will trade independently on the New York Stock Exchange under the ticker symbol MBGL.
S&P Global has filed unaudited pro forma condensed consolidated financial statements to illustrate the company's financial position as if the separation had occurred earlier. These pro forma statements are derived from historical consolidated financial statements and reflect the reclassification of the Mobility segment as discontinued operations for all periods presented. The financial documents cover the six months ended June 30, 2026, and the years ended December 31, 2025, 2024, and 2023. The pro forma statements present revenue, expenses, operating profit, and net income from continuing operations attributable to S&P Global Inc., along with basic and diluted earnings per share figures for these periods.
For the six months ended June 30, 2026, and the year ended December 31, 2025, transaction accounting adjustments were applied to the income statements to give effect to the separation as if it had occurred on January 1, 2025. The pro forma balance sheet as of June 30, 2026, reflects the company's financial position assuming the separation date was June 30, 2026.
The unaudited pro forma condensed consolidated financial statements are prepared in accordance with Regulation S-X Article 11 and U.S. GAAP. Management notes that these statements are provided for illustrative and informational purposes only and do not represent a full accounting of the company's standing or performance if the split had taken place on those assumed dates. Actual results may vary considerably from these pro forma figures due to multiple factors.
