Inflection Point Acquisition Corp. VI has amended its business combination agreement with Quantum Space, LLC to list the combined company's securities on the New York Stock Exchange rather than Nasdaq. The amendment, filed with the U.S. Securities and Exchange Commission on October 22, 2026, also alters the post-closing board of directors structure for the entity, referred to in the filing as New Quantum Space.

The original Business Combination Agreement was signed on June 8, 2026, by Inflection Point, its wholly owned subsidiary IPFX PubCo, Inc., the direct subsidiary IPFX Merger Sub, Inc., and Quantum Space. The new amendment replaces the previous requirement for a fixed seven-director board with a variable number of directors to be appointed in accordance with New York Stock Exchange rules. Under the new terms, Quantum Space will determine the board size, subject to approval by Inflection Point, which cannot be unreasonably withheld, delayed, or conditioned.

Inflection Point Acquisition Corp. VI is a Cayman Islands-based special purpose acquisition company currently listed on The Nasdaq Stock Market LLC under the ticker symbol IPFX. The company's securities include Class A ordinary shares, units consisting of one Class A ordinary share and one-third of a redeemable warrant, and warrants exercisable for one Class A ordinary share at $11.50 per share. The amendment makes conforming changes to listing covenants and director independence requirements to align with New York Stock Exchange standards and replaces the capitalization table in the Company Disclosure Letter.

The filing notes that the description of the amendment is qualified by reference to the full text of the document, which is attached as Exhibit 2.1 to the Form 8-K. The report includes standard forward-looking statements regarding the likelihood of successfully completing the business combination and future results. Management of Inflection Point and Quantum Space states that actual events may differ from assumptions due to risks such as legal proceedings, regulatory approval conditions, or the failure to obtain shareholder approval or financing. The ability of New Quantum Space to meet stock exchange listing standards following the consummation of the deal is cited as a specific risk factor.
