PBF Holding Company LLC has entered into an amended and restated asset-based revolving credit agreement with a maximum commitment of $4.0 billion. The new facility, dated September 30, 2026, replaces the company's existing Senior Secured Revolving Credit Agreement from August 23, 2023. Bank of America, National Association serves as the administrative agent for the bank syndicate participating in the loan.

The 2026 Revolving Loan features reduced commitment fees on the unused portion compared to the prior agreement. The maturity date for the new facility is set for September 30, 2031. Interest rates on advances and fees for letters of credit are generally consistent with those in the existing credit agreement. The agreement includes representations, warranties, and covenants by PBF Holding and other borrowers, along with customary events of default and indemnification obligations that align with the previous terms.

PBF Holding Company LLC is a subsidiary of PBF Energy Company LLC and PBF Energy Inc. Certain wholly-owned subsidiaries of PBF Holding participate as borrowers or subsidiary guarantors. The full text of the 2026 Revolving Loan is filed as Exhibit 10.1 to the Form 8-K current report. The filing notes that certain banks in the syndicate and their affiliates have historically offered, are currently offering, and may offer investment banking, commercial banking, and other financial services to PBF and its affiliates, for which they receive or may receive standard compensation.

Trecia M. Canty, Senior Vice President, General Counsel and Secretary, signed the report on behalf of both PBF Energy Inc. and PBF Holding Company LLC on October 1, 2026. The registrants are identified as Delaware entities with principal executive offices at One Sylvan Way, Second Floor, Parsippany, New Jersey.
