Alpha Modus Holdings, Inc. completed a private placement on September 30, 2026, acquiring 3,170 bitcoin from non-U.S. investors. The transaction, valued at more than $250 million based on a reference price of approximately $83,612.20 per coin, transferred the digital assets to the company's newly formed Singapore subsidiary, AMOD Tech Pte. Ltd.

The closing marks the final step of a securities purchase agreement originally disclosed in an August 27, 2026 filing. Under the terms, Alpha Modus issued 51,621,560 shares of Class A Common Stock and warrants to purchase an additional 51,621,560 shares at an exercise price of $4.36. The investors delivered the bitcoin as the aggregate purchase price for these securities.

The capital raise addresses a compliance issue flagged by The Nasdaq Stock Market earlier this year. In April 2026, Nasdaq notified the company that it no longer met minimum standards for net income, market value, or stockholders' equity. Alpha Modus subsequently submitted a plan to regain compliance and received an extension. Management stated that the inflow from the bitcoin purchase has restored the company's stockholders' equity to a level well in excess of $200 million. This figure significantly exceeds the $2.5 million minimum required under Nasdaq Listing Rule 5550(b)(1).

Despite the regained compliance, Nasdaq indicated it will continue to monitor the company's financial standing. The exchange warned that if Alpha Modus fails to evidence compliance in its next periodic report, it may face delisting. The company noted that delisting could reduce stock liquidity, limit access to public capital markets for equity financing, and impair its ability to use equity incentives for employees.

Alpha Modus Holdings is incorporated in Delaware and trades on The Nasdaq Stock Market under the ticker symbols AMOD for its Class A Common Stock and AMODW for its redeemable warrants. William Alessi, President and Chief Executive Officer, signed the Form 8-K report on October 1, 2026.
