Prysmian S.p.A. completed its acquisition of Atkore Inc. on October 19, 2026, converting each outstanding share of Atkore common stock into $95.00 in cash. The transaction, finalized under a Merger Agreement dated August 2, 2026, resulted in Atkore becoming a wholly owned subsidiary of the Italian buyer.

In connection with the closing of the merger, Atkore terminated all commitments under its existing credit facilities and repaid all outstanding obligations in full. The terminated facilities included a Term Loan Credit Agreement dated May 26, 2021, with JPMorgan Chase Bank, N.A. serving as administrative agent, and an Amended and Restated Credit Agreement dated August 28, 2020, with Wells Fargo Bank, National Association as administrative and collateral agent. All liens, security interests, and guarantees securing these obligations were released.

Atkore also redeemed all outstanding 4.25% Senior Notes due 2031 on the closing date. The company redeemed $400 million in aggregate principal amount of these notes at a price equal to 102.125% of the principal amount, which amounted to $1,021.25 per $1,000 principal amount, plus accrued and unpaid interest through the closing date. The redemption was executed pursuant to an Indenture dated May 26, 2021, with The Bank of New York Mellon Trust Company, N.A. acting as trustee.

The merger agreement specified that equity awards held by Atkore employees and executives were converted into cash payments based on the $95.00 per share merger consideration. Stock options were deemed fully vested and canceled; those with exercise prices below the merger price were converted into cash equal to the excess of the merger consideration over the exercise price multiplied by the number of underlying shares. Options with exercise prices equal to or greater than the merger consideration were canceled for no consideration.

Restricted stock units, performance restricted stock units, and deferred stock units were also deemed fully vested and canceled where applicable. Each was converted into a cash payment equal to the product of the merger consideration and the total number of shares underlying the award. For performance restricted stock units, the share count was determined according to the specific terms of those awards.

Atkore Inc., a Delaware corporation headquartered in Harvey, Illinois, filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission to report the completion of the acquisition and the termination of material definitive agreements. The full text of the Merger Agreement was previously filed as Exhibit 2.1 to an earlier Form 8-K submitted on August 3, 2026.
