Onconetix, Inc. stockholders will see their holdings consolidated in a one-for-ten reverse stock split, a move approved by the company's Board of Directors. The action is expected to take effect at 12:01 a.m. Eastern Time on November 6, 2026.

Under the terms of the transaction, every ten shares of Onconetix common stock will be automatically exchanged for a single share. The stock will continue to trade on the Nasdaq under the symbol ONCO, though it has been assigned a new CUSIP number, 68237Q500, to reflect the change.

The reverse split is projected to reduce the outstanding share count from approximately 5,886,774 as of October 21, 2026, to approximately 588,677 shares. This figure does not account for adjustments related to fractional shares. Onconetix will not issue fractional shares; instead, stockholders entitled to such fractions will receive cash payments in lieu of them.

The company's authorized common stock remains at 250,000,000 shares, and the par value stays at $0.00001 per share. The split applies uniformly to all outstanding shares, meaning no stockholder's percentage ownership interest will change, except for minor adjustments where cash is paid for fractional shares. The rights and privileges of common stock holders remain unaffected, as do the authorized shares and par value of the company's preferred stock.

Proportionate adjustments will be made to exercise or conversion prices and the number of shares issuable under Onconetix's outstanding options, warrants, convertible securities, and equity incentive plans, in accordance with their respective terms.

Onconetix is a commercial-stage biotechnology company focused on oncology solutions. It owns Proclarix, a prostate cancer diagnostic test that was initially created by Proteomedix and cleared for sale in the European Union under IVDR regulations. The company anticipates marketing Proclarix in the U.S. as a lab developed test through its license agreement with Labcorp.

The announcement includes forward-looking statements based on Onconetix's current expectations, with actual results potentially differing materially. Investors should refer to the risk factors detailed in Onconetix's Annual Report on Form 10-K filed with the SEC on March 13, 2026, as well as subsequent periodic reports.
