Eva Live Inc. (GOAI) has formally disputed assertions by Streeterville Capital, LLC, which claims that a recent securities transaction triggered a 10 percent increase in the outstanding balance of two convertible promissory notes. The Las Vegas-based company filed a Form 8-K with the U.S. Securities and Exchange Commission on October 26, 2026, to disclose the dispute and its current position regarding the debt obligations.
According to the filing, Streeterville issued a notice on October 20, 2026, asserting that the Dune Transaction, a securities purchase agreement with Dune Equity Holdings LLC dated October 2, 2026, constitutes a "Restricted Issuance" under the terms of the notes. Streeterville further claimed it did not provide the prior written consent required by Section 4(v) of the Purchase Agreements. Based on these assertions, Streeterville stated that a Major Trigger Event occurred under Section 4.1(h) of the notes and elected to apply the Trigger Effect under Section 4.2.
The Trigger Effect, as described in the notice, increases the Outstanding Balance of each note by 10 percent effective October 2, 2026. Eva Live estimates this action would raise the aggregate outstanding balance of the notes from approximately $7,417,857 to approximately $8,159,643. This estimated increase of approximately $741,786 is broken down into an increase of approximately $522,302 for the February Note and approximately $219,483 for the July Note. The company noted that these figures are estimates based on its own records, as Streeterville has not confirmed the specific amounts in its notice.
The underlying debt consists of two secured convertible promissory notes issued to Streeterville. The first note, issued on February 23, 2026, had an original principal amount of $7,560,000. The second note was issued on July 23, 2026, with an original principal amount of $2,160,000. Both notes were issued under separate Securities Purchase Agreements dated February 23, 2026, and July 21, 2026, respectively. The company previously disclosed these transactions in Form 8-K filings dated February 23, 2026, and July 23, 2026.
Eva Live explicitly disputes Streeterville's claims in the notice. The company challenges whether the Dune Transaction qualifies as a Restricted Issuance, whether a Trigger Event actually occurred, and whether the Trigger Effect and subsequent balance increase were validly applied. The filing states that the company is filing this report for disclosure purposes only and does not admit any default, liability, or obligation under the notes or related transaction documents. Eva Live asserts it is evaluating its options and may engage with Streeterville regarding the matters raised.
As of the filing date, Streeterville had not requested a cure under Section 4.3 or declared a default event. The company reserved all rights and remedies available to it under applicable law and the transaction documents. David Boulette, President and CEO of Eva Live Inc., signed the report on behalf of the company.
