EchoStar Corporation disclosed that its subsidiary, DISH DBS Corporation, and certain of its subsidiaries emerged from Chapter 11 bankruptcy on October 1, 2026. The restructuring reduced the aggregate outstanding indebtedness of the DISH DBS Filing Entities by approximately $4.35 billion, a result driven by debt restructuring, the full repayment of 7.75% Senior Notes due July 1, 2026, and partial early repayment of 5.25% Senior Secured Notes due December 1, 2026.

The DISH DBS Filing Entities commenced voluntary cases under Chapter 11 in the United States Bankruptcy Court for the Southern District of Texas on June 30, 2026, to pursue a joint prepackaged plan of reorganization. On August 27, 2026, the entities informed the court of a decision to bifurcate the plan into separate plans for the DISH DBS Filing Entities and the DISH Wireless Filing Entities. The court confirmed the plan for the DISH DBS Filing Entities on September 29, 2026. All conditions precedent to the effective date were satisfied or waived on October 1, 2026, allowing the DISH DBS Filing Entities to exit bankruptcy.

In connection with the emergence, DISH DBS entered into three supplemental indentures on October 1, 2026. These agreements were executed with Wilmington Savings Fund Society, FSB, as successor trustee and collateral agent, and U.S. Bank Trust Company, National Association, as trustee. The supplemental indentures relate to the 5.25% Senior Secured Notes due 2026 and 5.75% Senior Secured Notes due 2028; the 7.375% Senior Notes due 2028; and the 5.125% Senior Notes due 2029. EchoStar stated that these descriptions are qualified by reference to the full documents, which will be filed as exhibits to its next Quarterly Report on Form 10-Q.

The emergence triggers a change in EchoStar's consolidated financial statements. The DISH DBS Filing Entities were deconsolidated from EchoStar's financial statements effective as of June 30, 2026, upon the filing of the bankruptcy cases in accordance with generally accepted accounting principles. With the emergence on October 1, 2026, the entities will be reconsolidated into EchoStar's financial statements as of that date.

EchoStar filed its Current Report on Form 8-K on October 2, 2026. The report was signed by Jeffrey H. Blum, Acting Chief Legal Officer and Secretary. Financial statements required for the emergence will be filed by amendment to the current report no later than 71 calendar days after the filing deadline.
