RTB Digital, Inc. appointed Mary Elizabeth Truss, the former 56th Prime Minister of the United Kingdom, as a director on September 30, 2026. The appointment was confirmed in a Form 8-K filed with the U.S. Securities and Exchange Commission, signed by Chief Executive Officer James Heckman on October 2, 2026.
Truss will serve on the board until her successor is elected and qualified. The company stated that her experience in international business, government, and media, along with her relationships in the United Kingdom media market, is expected to provide the board with valuable perspective as it develops its enterprise media operating system.
Prior to her role as Prime Minister, Truss served as the Conservative Member of Parliament for South West Norfolk from 2010 to 2024. During that period, she held ministerial office for more than ten years between 2012 and 2022. Her cabinet roles included positions overseeing the environment, food and rural affairs; justice and law; the treasury; international trade; foreign affairs; and women's equality. As Prime Minister, she attempted to implement a plan for growth that included tax cuts and productivity reforms. She stepped down after concluding she could not deliver her mandate due to opposition from the Bank of England and certain members of the House of Commons.
Since leaving office, Truss published "Ten Years to Save the West" in April 2024 and launched "The Liz Truss Show" podcast in December 2025.
Under the company's standard form of Board of Directors Agreement, Truss is eligible to receive an annual equity award with a grant-date fair value of $150,000 in restricted stock units (RSUs). Because her appointment occurred outside of an annual shareholder meeting, she will receive a prorated RSU award for the remainder of the 2026 service period. The number of RSUs will be calculated based on the average closing price of RTB Digital's common stock over the five consecutive trading days preceding the grant date. These awards vest in full on December 31 of the applicable calendar year, provided she remains in service through that date.
Truss will also be reimbursed for reasonable, approved business expenses and may receive additional cash compensation if authorized by the Compensation Committee. The filing states that no other person selected her for the position, and she has no family relationships with company executives or material interests in transactions requiring disclosure under Item 404(a) of Regulation S-K.
