Getty Images Draws $85M Interim DIP Loan in Chapter 11
Getty Images Holdings, Inc. borrowed $85.0 million under a new debtor-in-possession facility on October 23, 2026, following the U.S. Bankruptcy Court for the District of Delaware's approval of interim financing.
The company entered the borrowing arrangement through a credit agreement with Cantor Fitzgerald Securities, acting as administrative and collateral agent, and the associated lenders. The total facility capacity is $143.0 million, structured to support the company's ongoing operations and chapter 11 proceedings. The initial $85.0 million draw represents the Interim DIP Term Loans, which became available after the court entered its Interim DIP Order.
This financing follows a restructuring support agreement signed on October 12, 2026, between Getty Images and its majority shareholders and certain holders of funded indebtedness. On October 21, 2026, Getty Images and several subsidiaries filed voluntary petitions for chapter 11 protection in Delaware to implement a prepackaged reorganization plan. The company's headquarters are located in Seattle, Washington, and it is incorporated in Delaware.
The remaining balance of the facility includes $28.0 million in Final Term Loans and $30.0 million in delayed draw term loan commitments. The Final Term Loans will be available upon the entry of a final order approving the DIP Facility, while the delayed draw commitments can be accessed in up to five separate draws. Repaid amounts under the facility cannot be reborrowed.
Proceeds from the interim and final term loans are designated for specific uses, including covering costs related to the bankruptcy cases, paying expenses associated with the DIP Facility itself, and funding general corporate purposes and working capital needs. The delayed draw term loans are restricted to making specific payments outlined in the approved budget or replenishing cash used for such payments.
The obligations under the DIP Facility carry super-priority administrative expense claims and are secured by liens on substantially all assets of the company parties. These liens rank first in priority for previously unencumbered property, which includes 35% of equity interests in certain foreign subsidiaries, and for a segregated account holding the facility proceeds. However, they rank junior to liens securing prepetition secured debt on collateral for that specific debt.
Loans under the facility bear interest at either Term SOFR plus 5.00% per annum or a base rate plus 4.00% per annum, payable in kind by adding accrued interest to the principal amount. If the restructuring support agreement is terminated before the plan effective date, Getty Images would owe an exit fee equal to 2.00% of the total outstanding loans.
The facility matures on the earliest of January 31, 2027, the plan effective date, or the consummation of a sale of all or substantially all of the company's assets.
