DataMeds AI, Inc. has entered into an exclusive intellectual property license agreement with REBOOT Health AI, Inc., granting the Tampa-based company rights to use REBOOT's technology for its direct-to-consumer GLP-1 weight management business. The deal, effective October 13, 2026, allows DataMeds to reconfigure the REBOOT Health AI Platform into the "DataMeds Platform" specifically for managing GLP-1 users within its consumer-facing operations.

Under the terms of the Intellectual Property License and Product and Services Agreement, DataMeds receives an exclusive license within a defined Field of Use, which is limited to the company's B2C model. DataMeds is not authorized to sell services directly to healthcare providers for business use, except for limited, listed exceptions. The agreement stipulates that DataMeds will not receive source code for the platform and may not modify, reverse engineer, or create derivative works of it. REBOOT retains all right, title, and interest in both the original REBOOT Platform and the reconfigured DataMeds Platform.

As consideration for the license, DataMeds agreed to issue REBOOT 666,667 shares of its common stock. This equity component is valued at $2 million, with a provision that if the market value of these shares falls below that threshold 180 days after the effective date, DataMeds must issue additional shares to cover the shortfall based on a 10-day volume-weighted average price. The shares are restricted under Rule 144 and include piggyback registration rights for future public offerings. Additionally, DataMeds will pay REBOOT $50,000 within two business days to begin reconfiguration work, which the parties estimate will cost at least $100,000 in total.

The agreement includes a related Product and Services Agreement for ongoing support and a Revenue Sharing Agreement, under which REBOOT will receive a portion of DataMeds' Adjusted Gross Revenue generated from using the technology. The IP License Agreement continues in perpetuity until the expiration or invalidity of the last licensed patent, subject to termination for uncured material breach or failure to meet minimum revenue thresholds.

The filing also addresses DataMeds' listing status on The Nasdaq Capital Market. In April 2026, Nasdaq notified the company that it failed to meet the $2.5 million minimum stockholders' equity requirement due to negative equity of $(12,447,801) reported in its fiscal year 2025 annual report. To remedy this deficiency, DataMeds has executed several transactions between July and October 2026. These include converting approximately $1.5 million of vendor payables into common stock and issuing 636,328 shares to Axe Computer, Inc. for the acquisition of Helomics Corporation.

Furthermore, DataMeds entered into a settlement agreement in September 2026 that extinguished approximately $18.7 million of debt. The company stated that these actions, combined with the equity issuance to REBOOT, have restored its stockholders' equity to above the $2.5 million threshold required by Nasdaq Listing Rule 5550(b)(1). DataMeds is currently awaiting formal confirmation from Nasdaq that it has evidenced compliance with all applicable listing criteria. Nasdaq will continue to monitor the company's compliance, and failure to demonstrate adherence to requirements in the next periodic report could result in delisting proceedings.
