Brightline Interactive, Inc. has regained compliance with the Nasdaq minimum bid price requirement after receiving official confirmation from the exchange. The company, which trades on the Nasdaq Capital Market under the symbol BTLN, announced on October 14, 2026 that Nasdaq issued a letter on October 12, 2026, stating the matter is now closed. The letter verified that the closing bid price of the company's common stock had remained at $1.00 per share or greater for 10 consecutive business days, satisfying the listing rule that mandates a minimum bid price of at least $1.00 per share.

The restoration of compliance follows a series of regulatory actions initiated in September 2026. On September 11, 2026, Nasdaq issued a Staff Determination to delist Brightline Interactive. In response, the company timely requested a hearing before the Nasdaq Hearings Panel on September 17, 2026, a move that stayed any suspension or delisting action. To address the underlying issue, Brightline Interactive effected a 1-for-8 reverse stock split of its common stock, which became effective on September 28, 2026. This action was taken specifically to regain compliance with the Bid Price Rule.

Tyler Gates, President and Chief Executive Officer of Brightline Interactive, stated that regaining compliance closes out an issue the company inherited and allows management to keep its attention on execution. Gates noted that the company's priorities have not changed and that it is continuing to advance opportunities for SpatialCore. The company is also building partnerships across the Physical AI ecosystem to deliver data infrastructure that enables people, AI and autonomous systems to operate more effectively together.

Brightline Interactive is developing SpatialCore, an interoperability infrastructure platform designed for Physical AI. The platform is built to connect real-world data from sources such as sensors, autonomous systems, digital twins and geospatial environments into a shared, AI-ready understanding of the physical world. The company operates across defense, government and commercial markets with the goal of enabling these systems to work together more effectively.

The company's press release includes a cautionary statement regarding forward-looking statements as defined in the Private Securities Litigation Reform Act of 1995. These statements relate to the firm's continued adherence to exchange listing standards, its strategic direction and its commercial activities. The company notes that while it believes its expectations are based on reasonable assumptions, there can be no assurance that actual results will not differ materially from what is expected. Factors that could cause such differences are disclosed in the Risk Factors section of its reports filed with the Securities and Exchange Commission, including its ability to maintain compliance with Nasdaq's continued listing standards.
