Auddia Inc. has amended its senior unsecured bridge notes to increase the maximum funding available to four Thramann Holdings entities. The amendment, dated October 16, 2026, was disclosed in a Form 8-K filed with the U.S. Securities and Exchange Commission.

The increase affects four companies controlled by Dr. Jeffrey Thramann: Thramann Holdings, LLC, LT350, LLC, Influence Healthcare, LLC, and Voyex, LLC. Under the revised terms, Auddia can fund up to $420,000 to Thramann Holdings, $1.9 million to LT350, $900,000 to Influence Healthcare, and $85,000 to Voyex. These figures represent increases from the original caps established when the notes were first issued on July 17, 2026.

The original bridge notes were designed to provide interim working capital to the target companies while a pending merger agreement remains in effect. That merger agreement was signed on February 17, 2026, between Auddia and McCarthy Finney, Inc. The deal would see Thramann Holdings and its subsidiaries become part of McCarthy Finney, a publicly traded holding company expected to trade under the ticker symbol MCFN. Dr. Thramann serves as both the founder of the target companies and the current Chief Executive Officer and Executive Chairman of Auddia.

The new funding limits were approved by Auddia’s special committee of independent and disinterested directors and its Audit Committee. The bridge notes remain senior unsecured obligations, meaning they are not backed by collateral. Funding is provided in tranches as mutually agreed upon by the parties. Any advance exceeding $50,000 requires specific approval from Auddia’s Audit Committee.

The merger remains subject to closing conditions, including approval by Auddia stockholders. The bridge notes include a provision stating that no further amounts will be funded if the pending merger agreement is terminated. Aside from the increased maximum funding amounts, the existing terms of the bridge notes remain in full force and effect.

The amendment was signed by John E. Mahoney, Chief Financial Officer of Auddia Inc., on October 22, 2026. Auddia is incorporated in Delaware and maintains its principal executive offices in Boulder, Colorado. The company’s common stock trades on The Nasdaq Stock Market LLC under the symbol AUUD.
