Atlas Energy Solutions Inc. disclosed that its subsidiary Shackelford 1, LLC entered into two separate purchase agreements with Wyoming Machinery Company on September 18, 2026. The contracts cover the acquisition of balance-of-plant equipment and power generation hardware for a specific project.
Under the first agreement, Shackelford will purchase balance-of-plant equipment from WMC for an aggregate price of approximately $340.5 million. WMC is scheduled to procure and make the equipment available for shipment between June 2027 and December 2027. Payments will be made in installments from September 2026 through May 2027, with 10% of the total purchase price withheld until WMC completes its obligations. Shackelford retains the right to terminate the agreement for convenience with at least 14 days' prior written notice, subject to paying amounts due and documented cancellation costs.
This balance-of-plant purchase is supported by a cost reimbursement agreement between Shackelford and a leading frontier AI lab. The AI lab is also identified as the intended off-taker for the power generation project.
In a second transaction, Shackelford agreed to purchase approximately 328 megawatts of power generation equipment, associated hardware, and project engineering services from WMC for an aggregate price of approximately $273.0 million. Installments for this portion are payable from September 2026 through January 2028. The equipment is scheduled to be ready to ship between April 2027 and February 2028.
The $273.0 million price includes tariffs passed through at actual amounts charged by Caterpillar Inc. These tariff amounts are subject to adjustment for any changes, exemptions, refunds, or credits. Subject to confirmation from Caterpillar, the execution of this generator purchase agreement satisfies a portion of the purchase obligation held by Atlas Energy Solutions ProjectCo, LLC under a previously announced Global Framework Agreement with Caterpillar.
Atlas Energy Solutions Inc., a Delaware corporation headquartered in Austin, Texas, filed the Form 8-K on September 24, 2026.
