Paramount threatens California exit as $650 million quarterly merger fee mounts

Hollywood's consolidation fight has escalated from the courtroom to the state line, with the financial cost of inaction now setting the pace.

Paramount Global chief executive David Ellison has told California Attorney General Rob Bonta to reach a settlement by October 1 or risk seeing the studio relocate to Georgia, Tennessee, or Texas, according to Puck News.

The ultimatum is driven by math: with Judge Araceli Martínez-Olguín having temporarily blocked Paramount's $111 billion merger with Warner Bros.

Discovery and pushed the earliest close to June 2027, the quarterly "ticking fee" Paramount owes Warner Bros. Discovery runs to at least $650 million per quarter if the case holds to its March 2027 trial date.
