DigitalOcean Holdings (NYSE: DOCN), the developer-focused cloud platform, completed the retirement of $471,828,000 face value of its 0.00% Convertible Senior Notes due 2030 on July 23, 2026, paying approximately $1.474 billion in cash across separate, privately negotiated repurchase transactions with a limited number of noteholders.
Equity offering funds the settlement The cash outlay was covered through a combination of cash on hand and the proceeds of a concurrent equity raise.
DigitalOcean sold 12,543,915 shares of common stock at $117.54 per share in a registered direct offering, with the buyers being the same holders of the convertible notes.
